Terms of service

1. Introduction
These Terms of service (“Terms”) govern access to and use of the services provided by Brixy Tech Limited, Company No. 16811724 (“Brixy”, “we”, “us”).
By accessing or using the Brixy platform, the customer (“Customer”, “Agency”, “you”) agrees to be bound by these Terms, our Privacy Policy, and our Data Processing Agreement (DPA).
If you do not agree, you must not use the Services.
2. The Services
Brixy provides an AI-native workflow automation platform for property management operations, including:
- email ingestion and classification
- repair issue intake and tracking
- contractor coordination
- automated communications
- compliance and reporting workflows
The Services are provided on a subscription basis and may evolve over time.
3. Eligibility & Account Registration
You must:
- be a legal entity or authorised sole trader
- have authority to bind the organisation you represent
- provide accurate and complete account information
You are responsible for:
- maintaining the confidentiality of credentials
- all activities conducted through your account
4. Customer Responsibilities
The Customer agrees to:
- use the Services only for lawful purposes
- ensure it has a valid legal basis to process personal data
- provide accurate instructions to Brixy
- not misuse, reverse-engineer or interfere with the Services
The Customer remains solely responsible for:
- relationships with tenants, landlords and contractors
- decisions made based on outputs of the Services
5. Data Protection & Privacy
5.1 Roles
For customer data processed via the Services:
- Customer acts as Data Controller
- Brixy acts as Data Processor
5.2 Governing Documents
Processing of personal data is governed by:
- the DPA
- the Privacy Policy
In case of conflict, the DPA prevails.
6. Use of AI & Automation
The Services include AI-driven features such as classification, extraction, summarisation and automated message generation.
Important:
- AI outputs are assistive, not legal or professional advice
- Customer remains responsible for reviewing and approving actions
- Brixy does not guarantee accuracy or completeness of AI outputs
Unless explicitly agreed in writing:
- Customer data is not used to train general-purpose AI models
- Data is processed solely to provide the Services
7. Subscriptions, Fees & Payment
7.1 Fees
Fees, billing cycles and payment terms are set out in an order form or subscription plan.
7.2 Payment
All fees:
- are exclusive of VAT or applicable taxes
- must be paid on time
Late payments may result in suspension of Services.
7.3 No Refunds
Except as required by law, fees are non-refundable.
8. Intellectual Property
8.1 Brixy IP
Brixy retains all rights in:
- the platform
- software
- AI models
- documentation
- trademarks and branding
No rights are transferred except as expressly stated.
8.2 Customer Data
Customer retains ownership of its data.
Brixy is granted a limited right to process such data solely to provide the Services.
9. Confidentiality
Each party agrees to:
- keep confidential information secret
- use it only for purposes of the Services
Confidentiality obligations survive termination.
10. Availability & Support
Brixy aims to provide reliable access but:
- does not guarantee uninterrupted availability
- may perform maintenance or updates
Service levels, if any, are defined separately.
11. Suspension & Termination
11.1 By Customer
Customers may terminate in accordance with its subscription terms.
11.2 By Brixy
Brixy may suspend or terminate access if:
- these Terms are breached
- required by law
- payment obligations are not met
12. Disclaimers
The Services are provided “as is” and “as available”.
To the maximum extent permitted by law:
- Brixy disclaims all implied warranties
- Brixy does not guarantee business outcomes
- Outputs are not professional advice
13. Limitation of Liability
To the maximum extent permitted by law:
- Brixy is not liable for indirect, incidental or consequential losses
- Total liability is capped at fees paid in the preceding 12 months
Nothing limits liability for:
- death or personal injury
- fraud or fraudulent misrepresentation
14. Indemnity
Customer agrees to indemnify Brixy against claims arising from:
- unlawful use of the Services
- breach of these Terms
- violation of data protection laws by Customer
15. Changes to the Services or Terms
Brixy may update:
- the Services
- these Terms
Material changes will be communicated reasonably in advance.
Continued use constitutes acceptance.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
